Senior Legal Counsel – Banking & Finance (Borrower Side)

For our USD 4 billion integrated resort development south in Hoi An, now we are searching for a Senior Legal Counsel to oversee legal matters pertaining to corporate finance and project finance. Reporting to our Vice President of Legal, the Senior Legal Counsel will be the point-person in finance legal matters and manage a team of legal staff.

KEY RESPONSIBILITIES AND ACCOUNTABILITIES:
• Acting as Legal Department's Head of Finance Legal Matters.
• Working in close cooperation with Senior Management, and Finance Department on matters related to banking, loans, mortgages, foreign exchange permits, etc.
• Drafting, reviewing and negotiating a variety of financial contracts in both English and Vietnamese.
• Participating actively in M&A and project finance transactions.
• Identifying and advising on legal risks in connection with the company's financial activities.
• In close cooperation with Vice President of Legal Affairs manage the time and resources of the Legal Department's junior legal counsels and legal assistants and assign tasks accordingly.
• Liaising with specialist external counsel as and when required.
• Monitoring changes to regulatory requirements and proactively handling and communicating regulatory developments.
• Building and maintaining professional working relationships with relevant local and central authorities and legal bodies.
• Assist colleagues on an ad-hoc basis on legal issues pertaining to other functions in our project (corporate-commercial, licensing, labor issues, real estate, construction, etc.)

• Vietnamese national.
• Bachelor's degree (or above) in law.
• Minimum 5 years’ experience from law firm in-house legal advisor, focusing on matters related banking and finance.
• Professional familiarity with regulations governing baking and finance.
• In-depth knowledge of procedures applicable to loan and security registrations, in particular for foreign-invested enterprises.
• Experience in working with relevant local and central authorities and maintaining such relationships.
• First-hand experience in drafting and negotiating Vietnamese and international loan documentation.
• Excellent Vietnamese and English skills (written and oral).
• Technical insights in hospitality and legal matters applicable to hospitality and gaming business is a strong advantage, but not required.
