Established in 1997 by Mr. Pham Tan Nghia (the “Sponsor”), Vietnam USA Society English International JSC (“VUS” or the “Company”), is one of the leading English Language Training (“ELT”) providers in Vietnam. The Company has grown rapidly and currently operates 14 English language training centers in Ho Chi Minh City (“HCMC”) with around 42,000 students. VUS is the one of the largest players within the Vietnamese ELT market with c.20% overall market share. Positioned towards the mid-market segment, where VUS has a dominant market share of over 40%, the Company is amongst the fastest growing players in the sector with >40% EBITDA CAGR over the last three years. This growth has been mainly driven by strong enrolment growth on the back of an established market reputation for good quality course offerings at affordable price points. Within the main ELT product offering, the Company tailors programs for each category of students including juniors, teens and adults as well as other premium and supplementary programs. The Company’s three core offerings (Smartkids, Superkids and Young Leaders) contributed over 70% of revenue and are focused on the younger segment (age 4 to 17). Compared to adult learners, these younger segments have significantly higher average re-enrolment rates with each student typically spending c.5 to 7 years i.e. providing a stable long term revenue base. VUS is well positioned to capitalize on the rapidly growing organized ELT sector, which remains underpenetrated within the organized mid-market segment particularly outside HCMC in the rest of Vietnam (including Hanoi). The overall vision for VUS is to enhance its already established platform to become the dominant ELT education provider in Vietnam and even potentially the broader Greater Mekong Sub-region (“GMS”).
