Legal Manager (Corporate & Operation)

A. Purpose
To act as the legal manager of the Corporate and Operation division of the legal department, counselling the Company on its legal rights and obligations and supporting the General Counsel in all aspects during the normal course of the business and operation; managing legal risks and other legal issues so to identify the opportunities as well as the challenges for the company’s best interests; and supervising the performance of the Corporate and Operation Legal Team.

C. Responsibility
As Legal Manager for Corporate and Operations, he/she will:
* Advising and supporting the General Counsel on legal and compliance matters in all aspects during the normal course of the business and operation, including but not limited to Vietnam legal and regulatory issues, corporate governance and compliance, commercial matters and contracts, dispute resolutions, criminal issues and legal proceedings.
* Identifying and managing legal and compliance risks so to optimize the business.
* Managing potential disputes and claims as well as other legal issues arising during the normal course of the business and operation.
* Assisting the General Counsel in managing and overseeing the Corporate and Operation Legal Team’s performance on daily basis
* Assisting the General Counsel in providing training and establishing the professional development plan for the Corporate and Operation legal team.
* Assisting the General Counsel in advising and establishing the legal management system, and relevant policies and procedures.
* Managing and maintaining relationship with Government and relevant State bodies/ agencies, sponsors and other stakeholders.

D. Accountability, Duty
* To report regularly and at least on a weekly basis to the General Counsel on the activities, workload and performances of the Corporate and Operation Legal Team
* To provide legal advices and support in effective manner
* To follow up and resolve timely and tenaciously all issues identified during the business and operations as assigned.
* To ensure the legal compliance throughout the business and functions
* To effectively work with other team member/functions and contribute to the performance of the whole company in general and the legal function in particular
* To proactively take necessary actions in identifying, reporting on legal risk as well a finding and deploying solutions or mitigation of such identified legal risk.

1. Qualification:
* Law degree qualified in Vietnam in Law from an accredited law school
* Postgraduate degree is an advantage

2. Educational Level:
* Graduate or above
* Education in a foreign country with either common law or civil law system is an advantage

3. Work Experience:
• Minimum 12 years of experiences, of which at least 7 years working as a lawyer in an international law-firm(s) and/or in-house counsel for a multinational company(ies) or 5 years working in oil and gas industry.
• Deep understanding of Vietnam legal systems, laws and regulations, the legal trends.
• Having experiences with other foreign law systems, preferably English law.
• Strong experience in international oil and gas industry, especially downstream, or petrochemicals is advantage.
• Experiences in corporate governance and compliance,
• Experiences in corporate and commercial matters, procurement, cross-border transactions, and managing legal issues in all aspect of the business, including dispute resolution
• Risk management and legal compliance.
• Strong relationship and experiences working with Government and other State bodies/agencies, including the Vietnamese court system.
