Lawyer/legal Counsel

Purpose
To serve as the Company’s legal counsel acting for and advising the Company on its legal rights and obligations in respect of commercial transactions and Vietnamese laws related matters during the normal course of the business and operation; interpreting the laws and applying laws to specific situations so to identify the opportunities as well as the challenges for the Company’s best interests.

Responsibility
• Advise the Company concerning Vietnamese laws and legal requirements required for or in relation to the business and operations, as well as the Company’s legal rights and obligations with regard to any legal or regulatory requirement.
• Advise the Company concerning business transactions, procurement contracts and other agreements in normal course of the business; and ensuring the compliance thereof;
• Analyse the probable outcomes of legal requirements or commercial transactions and make relevant recommendations for the best benefits of the company
• Advise and act for the Company on potential or actual contractual claims, claim liability, possibilities of prosecuting or defending lawsuits or other proceedings, and legal rights and obligations of the company in respect of contractual claims or disputes.
• Advise and act for the Company on potential or actual administrative inspections or audits, administrative actions or claims; possibilities of remedy and solutions for the company and make relevant recommendation.
• Advise and provide support in dealing and working with Government and relevant State bodies/ agencies in relation to the position.
• Negotiate and provide support in negotiation of the terms and conditions of procurement contracts and other contracts, and settlements of disputes or claim.
• Prepare, draft and review contracts & agreements, relevant legal documents, legal briefs and opinions, and other documents produced in daily operation
• Identify and discuss any legal risk, findings and recommendations with line managers and/or department manager.
• Interpret relevant internal policies and laws, rulings and regulations for individuals and businesses.
• Perform administrative and management functions related to the position.
• Update changes in or new regulations and alert to concerned divisions or functions.
• Perform other tasks as assigned from time to time in relation to the position.

• To provide legal advices and support in effective manner
• To follow up and resolve timely and tenaciously all issues identified during the business and operations as assigned.
• To ensure the legal compliance throughout the business and functions
• To effectively work with other team member/functions and contribute to the performance of the whole Company in general and the legal function in particular
• To proactively take necessary actions in identifying, reporting on legal risk as well a finding and deploying solutions or mitigation of such identified legal risk.

Qualification :
• Law degree
• Qualified in Vietnam
• Postgraduate degree is an advantage

Educational Level :
• Graduate or above
• Education in a foreign country with either common law or civil law system is advantage

Work Experience:
• Minimum 8 years of solid experiences, of which at least 5 years working as a lawyer in an international law-firm(s) or in-house counsel for a multinational company(ies);
• Deep understanding of Vietnam legal systems, laws and regulations and the legal trends, with strong experiences in legal regulatory requirements, permits and licenses in medical and health care industry, legal compliance, inspection and audits, labor and employment and corporate matters;
• Strong experience in corporate matters, commercial contracts and procurement, intellectual properties, labor and employment, compliance and dispute resolution;
• Experiences in M&A, cross-border transactions, arbitration and other methods of dispute resolution is advantage;
• Strong relationship and experiences working with Government and other State bodies/agencies, including the Vietnamese court system; and
• Experience in dispute resolution is advantage.
