In House Lawyer

Core Objectives

You will be responsible for working closely with the local authorities and BOM about Vietnamese law and communicating with clients to ensure that various duties are completed to a high standard with a focus on corporate and investment law, M&A, intellectual property, commercial transactions and litigation work.  

Responsibility

1. Legal affairs:

• Give accurate and timely counsel to executives in a variety of legal topics, including but not limited to: business contracts and negotiation, import/export matters, partnerships, corporate finance, etc.

• Draft and solidify agreements, contracts and other legal documents to ensure company’s full legal rights

• Provide clarification on legal language or specifications to everyone in the organization

• Work with government authorities for ensuring company’s application and compliance to local laws

• Internal check and follow up the implementation of Corporate and company’s compliance policies & procedures

• Collaborate with management to devise efficient defense strategies

• Conduct Compliance training for internal needs

• Follow up all the legal status/documents BOM meeting, resolution of all company’s project

2. Corporate Governance & Risk Management:

• Research and evaluate different risk factors regarding business decisions and operations

• Apply effective risk management techniques and offer proactive advice on possible legal issues

• Ensure company has a corporate governance system in place and working effectively

• Conducting necessary and appropriate discovery, and drafting legal documents, pleadings, motions and opinions;

• Effectively and efficiently undertakes routine document analysis and contract drafting.

• Advice, solve matters relating to governance

• Assess management risks & counter measures

3. Other supporting tasks relating to Legal and business support as assigned.

• Commitment and contribute to the development of school, willing to learn and share the knowledge with others.

Qualifications:

• BA degree of Law,

• Good communication, planning skills

• Good computer skill especially PowerPoint

Experience:

• Having at least 5-year experience in managing Legal affairs

• Working experience in business activities like investments and education environment will be preferred.

Job Requirement:

• English communication ability in both written and verbal manner

• Well experienced in Vietnam Law

• Mature, independent, able to lead a team
