Position Title: Head Legal & Transaction Management
Directly Reports To: COO
Indirectly Reports To CEO
Function / Division: Legal
Location: Ho Chi Minh City, Vietnam
Position Purpose (a succinct statement of why this role is required)
The position is responsible for leading all aviation division legal, compliance, deal execution, corporate governance, contract management, company secretarial and general counsel activities.
• Establish team and develop and implement all Legal and Transaction Management team policies, procedures and controls and ensure compliance with all regulatory requirements.
• Establish and manage legal document templates, legal processes, deal execution procedures, and contract management systems.
• Oversee company secretarial function, including any jurisdiction specific, public company or Board of Director reporting or filings.
• Provide legal advice on corporate, tax, leasing, financing and trading matters related to the division’s business, and ensure the successful and timely execution of transactions.
• Manage and interface with outside legal providers.
Core Accountabilities (what are the major tasks the role will be accountable for)
Having responsibility for or overseeing:
• Corporate Governance: Developing processes, procedures and controls to ensure compliance with Vietjet Group requirements, Sarbanes Oxley and other applicable jurisdictional or governing regulations and anticipation of any Hong Kong stock exchange requirements.
• Transaction Management: Developing processes, procedures and controls to ensure the timely and satisfactory closing of aircraft leasing, financing and trading transactions.
• Contracts Management: Establishing and maintaining a contracts management systems to ensure the safe keeping of legal documentation and appropriate lease and finance summaries.
• General Counsel & Company Secretarial: Manage all legal aspects of the division’s legal affairs, including litigation management, legal tax structuring, company secretarial and entity management.
• Compliance: Provide internal training on legal and regulatory topics in order for the business to keep abreast of regulatory issues.

• Understanding and implementing corporate governance controls as they relate to the Angelica business.
• Providing professional judgement under pressure of deadlines and in a relatively complex environment.
• Working with team and other staff to deliver within tight timeframes.
• Process, system and reporting development.
• Development of some relatively junior staff members.
• Managing outside legal costs.
Key Success Measures (what will success in the position look like; quantitative and/or qualitative)
• Timely and successful completion of transactions on budget.
• Optimizing and implementing processes and procedures to maximize deal throughput.
• Managing legal budget in compliance with management and stakeholder requirements.
• Maximizing commercial results, revenue and profit.
• Significant process and systems improvement.
• Maintenance of group policies, controls and procedures.
• Operate best-in-class legal department in line with publicly-traded aircraft lease company standard.
