Global Legal plays an important role in protecting the Group’s reputation by helping to future-proof the organization through robust legal risk and issue advisory. Responsible for providing comprehensive legal advice to senior management and all global businesses and functions, the team offers a diverse range of legal skills, jurisdictional experience and practice specialisms across all countries and territories in which our businesses operate.

We are currently seeking an ambitious individual to join this team in the role of General Counsel & Company Secretary.

The principal responsibilities of the General Counsel & Company Secretary are to:

- Proactively advise the CEO VMO and the Deputy General Counsel, Asia-Pacific on all legal, regulatory, reputational and associated matters;

- Manage all legal matters for HSBC in Vietnam which may be complex and have legal, financial and reputational impact;

- Facilitate business by providing legal services of the highest professional standards and identifying solutions to promote the acquisition and utilization of the Group’s business opportunities in Vietnam;

- Effectively manage legal risks;

- Establish policies, guidance, procedures and strategic directions for VMO’s business;

- Protect the integrity and reputation of the Bank and the Group;

- Manage Legal Team; and

- Act as Company Secretary.

In this role, you will:

Impact on the Business / Function
- Advise the CEO, senior management and functional heads on legal and regulatory risks and developments that may affect the business activity, facilitate the Bank’s business expansion, ensure that all legal, regulatory and reputational issues arising from the Bank operations are addressed and dealt with speedily and effectively
- Positively contribute to HSBC's local and international brand through delivery of professional services to customers and by professional and corporate ethical conduct;
- Proactively support HSBC’s business in Vietnam while at the same time act as a control function to ensure compliance with all relevant laws and regulations by the business by providing practical and pragmatic solutions to the business in difficult situations especially where legal and regulatory certainty is lacking
- As Secretary of the Members’ Council and the Company Secretary, create and implement the corporate governance structure for the Bank; ensure the operation of the Board’s committees in accordance with the local regulations and Group policies; provide direct support to the Board, the Board of Supervision and senior management and advise the Directors on all corporate governance matters; manage the company secretarial works of the Bank

Customers / Stakeholders
- Provide legal advice to line management and control functions in the ordinary course of business
- Draft, review and negotiate transaction documentation
- Develop bank documentation in compliance with local regulations
- Assist development of new products and services and provide legality analysis
- Implement strategic legal policies, and set local policies that ensure that HSBC Vietnam exposure to legal and regulatory risk is managed in a commercially sensitive and practical manner
- Manage litigations filed or threatened against HSBC Vietnam
- Coordinate and manage M&A related legal matters that may impact HSBC Vietnam
- Support HSBC Vietnam's senior management in the execution of business and operational strategies and initiatives
- Interface with external parties (including regulators and self-regulatory organizations where appropriate) in relation to legal and regulatory matters or lobbying efforts. Provide prompt, practical and pragmatic solutions to issues arising from the operation of the HSBC business; anticipate and inform the CEO, functional heads and regional legal function of significant regulatory development and helping to create and implementing strategies to bring about desired changes in local laws or regulations

Leadership & Teamwork
- Create and maintain a working environment that promotes staff engagement; identify and address any issues highlighted within the Global People Survey.
- Manage the Legal function in Vietnam in the capacity of Area General Counsel
- Ensure there is proper management and control of the Legal Department and that effective target setting and performance management is implemented for all staff in the Legal Team
- Ensure that all significant projects initiated by HSBC Vietnam have appropriate legal resource allocated and that key deadlines are met
- Maintain and develop positive and professional working relationships with senior business managers in HSBC Vietnam and the Global Legal function


Operational Effectiveness & Control
- Manage legal risk, including its identification, assessment, mitigation and control, and reporting
- Observe the Group Legal functional instruction manual
- Monitor the implementation of Legal risk management policies and controls across HSBC Vietnam
- Monitor the resourcing, costs and spend of the HSBC Vietnam legal team
- Assess and take ownership of the operational and cost efficiencies of the HSBC Vietnam legal team
- Maintain HSBC internal control standards, including the timely implementation of internal and external audit points together with any issues raised by external auditors
- Be alert to the operational risk scenario associated with the role and to ensure that all actions during employment with HSBC take account of the likelihood of operational risk occurring

To be successful in the role, you should meet the following requirements:

- A minimum of 10+ years Legal experience and demonstrate Legal management competencies gained through exposure & experience in large corporations
- Qualified lawyer with relevant post qualification experience
- Experienced and confident practitioner
- Up-to-date knowledge of developments in own industry sector
- Able to handle a diverse range of issues
- Self starter, independent with good organizational skills
- Communication and inter-personal skills
- Lateral thinking/problem solving
- Fluent in both Vietnamese and English
